Terms of Trade

These Terms of Trade apply to all work carried out by Origin Design, including graphic design, website design and development, website hosting, domain name services, ongoing website support, and any related creative or technical services.

By accepting a quote, approving work to proceed, making payment, or continuing to engage Origin Design, the client agrees to these Terms of Trade.

1. Services
Origin Design provides graphic design, website design and development, website hosting, domain name registration/renewal, website support, and related design and marketing services.

All work is carried out based on the information, instructions, content, approvals and feedback supplied by the client.

2. Hourly Rate
Origin Design’s standard hourly rate is $130.00 + GST per hour.

This rate applies to graphic design, website design and development, website updates, website support, technical support, client meetings, project management, communication, troubleshooting, file preparation, and any other work undertaken unless otherwise agreed in writing.

3. Quotes and Estimates
Any quote or estimate provided by Origin Design is based on the information available at the time and the expected scope of work.

If the project changes, expands, requires additional revisions, takes longer than expected, or involves work outside the original scope, additional time will be charged at the standard hourly rate of $130.00 + GST per hour.

Origin Design will make reasonable efforts to advise the client when work appears likely to exceed the original estimate, but the client acknowledges that some additional time may be necessary to complete requested work properly.

4. Client Supplied Content
The client is responsible for supplying all required content, images, text, logins, access details, approvals and information needed for the project.

The client confirms that any supplied material, including images, logos, text, documents and other content, is either owned by the client or the client has permission to use it.

Origin Design is not responsible for delays caused by missing, late, incomplete or incorrect client supplied content.

5. Revisions and Changes
Reasonable revisions are included as part of the design and development process, unless otherwise agreed.

Substantial changes, repeated revisions, changes to previously approved work, changes in direction, or requests outside the original project scope may be charged additionally at the standard hourly rate.

6. Payment Terms
All invoices are payable within 7 days of the invoice date, unless otherwise agreed in writing.

Payment is to be made by direct credit to the bank account shown on the invoice.

Origin Design reserves the right to pause current or future work if invoices are overdue.

7. Overdue Accounts
If an invoice remains unpaid after the due date, Origin Design may pause work, withhold files, delay website launches, suspend website support, or suspend hosting and related services until the account is brought up to date.

Any reasonable costs incurred in recovering overdue amounts, including debt collection costs, legal costs or administration time, may be added to the client’s account.

8. Website Hosting
Website hosting is charged at $40.00 + GST per month, unless otherwise agreed.

Hosting fees cover standard website hosting only. Additional services, premium plugins, email hosting, third-party subscriptions, website maintenance, content updates, security repairs, malware removal, or technical work may be charged separately.

Hosting may be invoiced monthly, annually, or as otherwise agreed.

If hosting invoices remain unpaid, Origin Design may suspend the website until payment is received.

9. Domain Names
Domain name registration and renewal costs are charged separately.

Domain pricing may vary depending on the domain extension, registrar pricing, exchange rates, or supplier costs.

Origin Design’s standard annual domain name registration/renewal rate is $85.00 + GST per domain, per year, unless otherwise agreed.

The client is responsible for ensuring domain renewal invoices are paid on time. Origin Design is not responsible for domain expiry, website downtime, email disruption, or loss of domain ownership caused by unpaid or late renewal payments.

10. Third-Party Costs
Any third-party costs required for a project will be charged to the client. This may include, but is not limited to, stock images, fonts, plugins, software licences, domain names, hosting, print costs, photography, copywriting, advertising spend, subscriptions, courier costs, or external supplier charges.

Where possible, these costs will be discussed with the client before being incurred.

11. Website Maintenance and Security
Origin Design may provide website updates, support and maintenance when requested, but ongoing maintenance is not automatically included unless agreed separately.

Websites can be affected by third-party plugin updates, hosting changes, software updates, browser changes, malware, security vulnerabilities, or user error. Any work required to investigate, repair, update or restore a website may be charged at the standard hourly rate.

12. Website Access and Client Changes
If the client, or a third party engaged by the client, makes changes to a website, hosting account, domain settings, plugins, code, content or technical setup, Origin Design is not responsible for any resulting issues.

Any work required to investigate or repair issues caused by client or third-party changes may be charged at the standard hourly rate.

13. Project Delays
Origin Design will make reasonable efforts to complete work within expected timeframes. However, timelines may be affected by client feedback, approval delays, content delays, technical issues, third-party suppliers, changes in scope, or other factors outside Origin Design’s control.

Origin Design is not responsible for delays caused by the client, third parties, or circumstances outside its reasonable control.

14. Approval and Responsibility
The client is responsible for checking and approving all work before it is finalised, printed, published or launched.

This includes checking spelling, grammar, names, dates, contact details, prices, specifications, imagery, layout, functionality, and any other content.

Once work has been approved by the client, Origin Design is not responsible for errors, omissions or costs associated with correcting approved work.

15. Printing and Production
For print projects, the client is responsible for carefully checking and approving final proofs before production.

Origin Design is not responsible for print errors, production issues, colour variations, trimming differences, paper stock variations, supplier delays, or other print-related issues once artwork has been approved and supplied for production.

16. Ownership and Intellectual Property
Once full payment has been received, the client will own the final approved design files, website content, and finished artwork created specifically for the client.

Origin Design retains ownership of working files, concepts not selected, drafts, development files, code libraries, processes, templates, and internal systems unless otherwise agreed in writing.

Origin Design may use completed work for portfolio, website, social media, award entry, marketing or promotional purposes unless the client requests otherwise in writing.

17. Website Files, Backups and Access
Origin Design may provide website access details where appropriate.

The client is responsible for keeping any supplied login details secure.

Origin Design may retain backups or copies of project files where practical, but does not guarantee permanent storage of files, websites, backups or historical project material unless a specific backup or maintenance agreement is in place.

18. Cancellation or Paused Projects
If a project is cancelled, delayed or paused by the client, all work completed up to that point will be invoiced at the standard hourly rate, unless otherwise agreed.

Any deposits, third-party costs, supplier costs, or completed work may be non-refundable.

If a project remains inactive for an extended period due to lack of client feedback, content or approval, Origin Design may close the project and invoice for work completed to date.

19. Limitation of Liability
Origin Design will take reasonable care in carrying out all work. However, to the extent permitted by law, Origin Design is not liable for indirect loss, loss of income, loss of profits, loss of data, loss of business opportunity, website downtime, search engine ranking changes, third-party service issues, or any consequential loss.

Origin Design’s total liability for any claim is limited to the amount paid by the client for the specific work giving rise to the claim.

20. Acceptance of Terms
By engaging Origin Design, approving work, paying an invoice, or continuing to request services, the client accepts these Terms of Trade.

Origin Design may update these Terms of Trade from time to time. The latest version will be available on the Origin Design website.
